Biogen to Acquire RayThera to Strengthen Immunology Pipeline

Biogen has entered into a definitive agreement to acquire RayThera Inc., a privately held biotechnology company focused on developing small-molecule therapies for immunological diseases. The deal is valued at up to $1 billion and includes an upfront payment along with milestone-based payments linked to future clinical and regulatory achievements.

The acquisition will add several anti-inflammatory drug candidates to Biogen’s immunology pipeline, supporting the company’s efforts to expand into additional immune-mediated disease areas.

RayThera’s portfolio includes multiple investigational therapies designed to treat a range of inflammatory and immune-related conditions. Its lead candidate is expected to enter Phase I clinical development in the third quarter of 2026.

Biogen stated that the acquisition will strengthen its long-term research and development strategy in immunology by broadening its pipeline with new therapeutic assets. The company plans to advance the lead programme into clinical testing and further evaluate the potential of the wider portfolio.

RayThera has focused on discovering and developing innovative small-molecule treatments targeting inflammatory pathways involved in immune-mediated diseases. Following the acquisition, Biogen will leverage its global development and clinical capabilities to progress these programmes through clinical development and potential regulatory approval.
